कम्पनी ऐन, २०६३ (सन् २००६) नेपालमा कम्पनीको स्थापना, दर्ता, सञ्चालन, व्यवस्थापन तथा खारेजी (Liquidation) सम्बन्धी व्यवस्था गर्ने प्रमुख कानुन हो। यस ऐनले कम्पनी सञ्चालनलाई कानुनी, व्यवस्थित, पारदर्शी र उत्तरदायी बनाउने उद्देश्य राख्छ। कम्पनी ऐन, २०६३ का प्रमुख विशेषताहरू निम्नानुसार छन्।
१. कम्पनी स्थापना (Incorporation)
कम्पनी ऐन, २०६३ अनुसार कानुनी प्रक्रिया पूरा गरी कम्पनी स्थापना गर्न सकिन्छ। कम्पनी दर्ता भएपछि त्यसले छुट्टै कानुनी व्यक्तित्व (Separate Legal Entity) प्राप्त गर्छ। कम्पनीले आफ्नै नाममा सम्पत्ति राख्न, सम्झौता गर्न, मुद्दा हाल्न र मुद्दा खेप्न सक्छ।
उदाहरण: ABC Pvt. Ltd. दर्ता भएपछि कम्पनीले आफ्नै नाममा बैंक खाता खोल्न र जग्गा खरिद गर्न सक्छ।
२. आवेदन (Application)
कम्पनी स्थापना गर्न कम्पनी रजिस्ट्रारको कार्यालयमा निर्धारित ढाँचामा आवेदन दिनुपर्छ। आवेदनसँग कम्पनीको नाम, उद्देश्य, प्रबन्धपत्र (MOA), नियमावली (AOA), संस्थापकहरूको विवरण तथा आवश्यक कागजात संलग्न गर्नुपर्छ।
महत्त्व: यसले दर्ता प्रक्रियालाई कानुनी र व्यवस्थित बनाउँछ।
३. दर्ता (Registration)
रजिस्ट्रारले आवश्यक कागजात जाँच गरी सबै शर्त पूरा भएमा कम्पनी दर्ता गरी दर्ता प्रमाणपत्र (Certificate of Incorporation) जारी गर्छ। त्यसपछि कम्पनीले कानुनी रूपमा व्यवसाय सञ्चालन गर्न पाउँछ।

उदाहरण: कुनै शेयरधनीले रु. २ लाखको शेयर लिएको छ भने उसको अधिकतम दायित्व त्यति रकमसम्म मात्र सीमित हुन्छ।
महत्त्व: यसले लगानीकर्तालाई सुरक्षित महसुस गराउँछ र लगानी गर्न प्रोत्साहन गर्छ।
५. शेयरधनीको संख्या (Number of Shareholders)
कम्पनी ऐनले कम्पनीका प्रकारअनुसार शेयरधनीको संख्या निर्धारण गरेको छ।
- निजी कम्पनी (Private Company): न्यूनतम १ जना र अधिकतम १०१ जना शेयरधनी।
- सार्वजनिक कम्पनी (Public Company): कम्तीमा ७ जना शेयरधनी हुनुपर्छ।
महत्त्व: यसले कम्पनीको स्वामित्व र व्यवस्थापनलाई व्यवस्थित बनाउँछ।
६. पालना गर्नुपर्ने सर्तहरू (Terms to be Abided)
कम्पनीले कम्पनी ऐन, प्रबन्धपत्र (MOA), नियमावली (AOA) तथा अन्य प्रचलित कानुनहरूको पालना गर्नुपर्छ।
मुख्य सर्तहरू:

- दैनिक व्यवस्थापनको निगरानी गर्ने।

९. लेखापरीक्षक नियुक्ति (Appointment of Auditor)
हरेक कम्पनीले योग्य र स्वतन्त्र लेखापरीक्षक नियुक्त गर्नुपर्छ।
लेखापरीक्षकका कार्यहरू:
- वित्तीय विवरण परीक्षण गर्ने।
- लेखा अभिलेखको सत्यता जाँच गर्ने।
- अनियमितता भएमा प्रतिवेदन दिने।

१०. कम्पनी खारेजी (Liquidation)
कम्पनीले व्यवसाय बन्द गर्न चाहेमा वा कानुनी कारणले कम्पनी सञ्चालन सम्भव नभएमा ऐनअनुसार खारेज (Liquidation) गर्न सकिन्छ।
खारेजीका प्रकार:
- स्वेच्छिक खारेजी (Voluntary Liquidation)
- अदालतको आदेशबाट खारेजी (Compulsory Liquidation)
खारेजी प्रक्रिया:
- कम्पनीको सम्पत्ति बिक्री गरिन्छ।

परिचय (Introduction)
वैदेशिक लगानी तथा प्रविधि हस्तान्तरण ऐन, २०१९ (FITTA) नेपालमा वैदेशिक लगानी र प्रविधि हस्तान्तरणलाई नियमन गर्ने प्रमुख कानुन हो। यो ऐन २७ मार्च २०१९ देखि लागू भएको हो र यसले वैदेशिक लगानी तथा प्रविधि हस्तान्तरण ऐन, १९९२ लाई प्रतिस्थापन गरेको हो। यस ऐनको मुख्य उद्देश्य नेपालमा वैदेशिक पूँजी, प्रविधि, ज्ञान र सीप भित्र्याई औद्योगिक तथा आर्थिक विकासलाई गति दिनु हो।
वैदेशिक लगानी तथा प्रविधि हस्तान्तरण ऐन, २०१९ का प्रमुख विशेषताहरू
१. लागू हुने क्षेत्र (Applicability)
यो ऐन नेपालमा हुने सबै प्रकारका वैदेशिक लगानी तथा प्रविधि हस्तान्तरणमा लागू हुन्छ। यसलाई सार्वजनिक–निजी साझेदारी तथा लगानी ऐन, औद्योगिक उद्यम ऐन र विदेशी विनिमय नियमन ऐनसँग पनि सम्बन्धित रूपमा अध्ययन गरिन्छ।
महत्त्व: यसले वैदेशिक लगानीलाई कानुनी रूपमा व्यवस्थित र सुरक्षित बनाउँछ।
२. वैदेशिक लगानीका स्वरूप (Forms of Foreign Investment)
यस ऐनले वैदेशिक लगानीका विभिन्न स्वरूपलाई मान्यता दिएको छ। जस्तैः
- कम्पनीमा शेयर (Equity) लगानी
- संयुक्त लगानी (Joint Venture)
- नाफाको पुनः लगानी (Reinvestment of Profit)
- धितोपत्र (Shares/Securities) मा लगानी
- प्रविधि हस्तान्तरण सम्झौतामार्फत लगानी
महत्त्व: यसले विदेशी लगानीकर्तालाई विभिन्न माध्यमबाट लगानी गर्ने अवसर प्रदान गर्छ।
३. स्वीकृतिको व्यवस्था (Approval Requirement)
वैदेशिक लगानी गर्नुअघि सम्बन्धित सरकारी निकायबाट स्वीकृति लिनुपर्छ। स्वीकृति प्राप्त भएपछि मात्र लगानी गर्न पाइन्छ।
महत्त्व: यसले लगानीलाई कानुनी, पारदर्शी र व्यवस्थित बनाउँछ।
४. न्यूनतम लगानी रकम (Minimum Investment Amount)
यस ऐनले विदेशी लगानीकर्ताले नेपालमा लगानी गर्दा न्यूनतम लगानी रकम तोकेको छ।
महत्त्व: यसले साना तथा अस्थायी लगानीभन्दा दीर्घकालीन र गुणस्तरीय लगानीलाई प्रोत्साहन गर्छ।
५. आम्दानी फिर्ता लैजान पाउने व्यवस्था (Repatriation of Earnings)
विदेशी लगानीकर्ताले कानुनबमोजिम कर तिरेपछि निम्न रकम आफ्नो देशमा लैजान (Repatriate) पाउँछन्:
- नाफा (Profit)
- लाभांश (Dividend)
- रोयल्टी (Royalty)
- लगानी बिक्रीबाट प्राप्त रकम
- ऋणको साँवा र ब्याज

६. लगानीकर्ताको दायित्व (Obligations of Investors)
विदेशी लगानीकर्ताले:
- नेपालको कानुन पालना गर्नुपर्छ।

- श्रम र वातावरणसम्बन्धी कानुनको पालना गर्नुपर्छ।

७. भिसाको व्यवस्था (Provision of Visa)
यस ऐनले विदेशी लगानीकर्ता, उनीहरूको परिवार तथा विदेशी प्राविधिक विशेषज्ञलाई आवश्यकताअनुसार व्यापारिक वा आवासीय भिसाको व्यवस्था गरेको छ।
महत्त्व: यसले विदेशी लगानीकर्तालाई नेपालमा व्यवसाय सञ्चालन गर्न सहज बनाउँछ।
८. लगानीका क्षेत्रहरू (Sectors of Investment)
यस ऐनले वैदेशिक लगानी गर्न मिल्ने क्षेत्रहरू निर्धारण गरेको छ। केही संवेदनशील क्षेत्रमा भने वैदेशिक लगानी प्रतिबन्धित वा सीमित गरिएको छ।
महत्त्व: यसले राष्ट्रिय हितको संरक्षण गर्दै प्राथमिकता प्राप्त क्षेत्रमा वैदेशिक लगानी आकर्षित गर्छ।

७. विद्युतीय कारोबारलाई कानुनी मान्यता (Validation of Electronic Transactions)
यस ऐनले उद्योग दर्ता, आवेदन, नवीकरण तथा अन्य प्रशासनिक कार्यहरू अनलाइन (Electronic System) मार्फत गर्न सकिने कानुनी व्यवस्था गरेको छ।
महत्त्व: सेवा प्रवाह छिटो, पारदर्शी र प्रभावकारी हुन्छ।
८. अनिवार्य संस्थागत सामाजिक उत्तरदायित्व (Mandatory Corporate Social Responsibility - CSR)
यस ऐनअनुसार निश्चित मापदण्ड पूरा गर्ने उद्योगहरूले आफ्नो नाफाको केही अंश शिक्षा, स्वास्थ्य, वातावरण संरक्षण, सामुदायिक विकास जस्ता सामाजिक कार्यमा खर्च गर्नुपर्छ।

९. कर छुट तथा सुविधा (Tax Exemption)
यस ऐनले प्राथमिकता प्राप्त उद्योग, विशेष क्षेत्र तथा निश्चित परियोजनालाई कर छुट र अन्य प्रोत्साहन सुविधा प्रदान गर्ने व्यवस्था गरेको छ।

५. कर्मचारीको वर्गीकरण (Categorization of Employees)
यस ऐनले कर्मचारीलाई विभिन्न वर्गमा विभाजन गरेको छ, जस्तै:

- समयबद्ध (Time-bound)
- आकस्मिक (Casual)

कर्मचारीको कार्यसम्पादन नियमित रूपमा मूल्याङ्कन गरिन्छ। मूल्याङ्कनका आधारमा पदोन्नति, तालिम वा अन्य निर्णय गरिन्छ।

७. सेवाबाट हटाउने व्यवस्था (Firing)
गम्भीर अनुशासनहीनता, लापरवाही वा कानुनले तोकेका कारण भएमा मात्र कर्मचारीलाई सेवाबाट हटाउन सकिन्छ।
महत्त्व: रोजगारदाताले कानुनी प्रक्रिया पालना गर्नुपर्छ।
८. स्वेच्छाचारी रूपमा सेवाबाट हटाउन नपाइने (No Discretionary Termination)
रोजगारदाताले कुनै उचित कारण वा कानुनी प्रक्रिया बिना कर्मचारीलाई हटाउन पाउँदैन।
महत्त्व: कर्मचारीको रोजगारीको सुरक्षा सुनिश्चित हुन्छ।
९. अनिवार्य अवकाश (Compulsory Retirement)
कर्मचारीले ऐन वा संस्थाको नियमअनुसार तोकिएको उमेर पुगेपछि अनिवार्य रूपमा अवकाश लिनुपर्छ।
महत्त्व: नयाँ जनशक्तिलाई अवसर प्राप्त हुन्छ।
१०. परीक्षण अवधि (Probation Period)
नयाँ कर्मचारीलाई निश्चित अवधिसम्म परीक्षणकाल (Probation) मा राख्न सकिन्छ। यस अवधिमा कर्मचारीको कार्यक्षमता र व्यवहारको मूल्याङ्कन गरिन्छ।
महत्त्व: योग्य कर्मचारी छनोट गर्न सहयोग हुन्छ।
११. कार्य समय (Working Hours)
ऐनले दैनिक तथा साप्ताहिक कार्य समय निर्धारण गरेको छ। सामान्यतया:
- दैनिक: ८ घण्टा
- साप्ताहिक: ४८ घण्टा
यसभन्दा बढी काम गराउँदा अतिरिक्त (Overtime) सुविधा दिनुपर्छ।
महत्त्व: कर्मचारीको स्वास्थ्य र कार्य–जीवन सन्तुलन कायम हुन्छ।
१२. कर्मचारी संख्या सीमा (Head Count Threshold)
कर्मचारीको संख्याका आधारमा उद्योग वा प्रतिष्ठानले श्रम ऐनका केही विशेष प्रावधानहरू पालना गर्नुपर्ने हुन्छ, जस्तै श्रम समिति गठन, सुरक्षा व्यवस्था आदि।
महत्त्व: प्रतिष्ठानको आकारअनुसार कानुनी दायित्व निर्धारण हुन्छ।

दर्ता भएको पेटेन्ट दर्ताको मितिबाट ७ वर्षसम्म मान्य हुन्छ।
महत्त्व: यस अवधिभित्र आविष्कारकर्ताले आफ्नो आविष्कारमाथि विशेष अधिकार प्राप्त गर्छ।
B. डिजाइन (Design)
१. आवेदन (Application)
कुनै वस्तुको डिजाइन दर्ता गर्न चाहने व्यक्तिले उद्योग विभाग मा आवेदन दिनुपर्छ। आवेदनसँग डिजाइनका चार प्रति, नक्सा, चित्र तथा आवश्यक कागजात पेश गर्नुपर्छ।
महत्त्व: डिजाइनलाई कानुनी मान्यता प्राप्त हुन्छ।
२. दर्ता (Registration)
आवेदन जाँचपछि उद्योग विभागले डिजाइन दर्ता गरी दर्ता प्रमाणपत्र प्रदान गर्छ।
महत्त्व: डिजाइनकर्तालाई कानुनी स्वामित्व प्राप्त हुन्छ।
३. अवधि (Term)
दर्ता भएको डिजाइन दर्ताको मितिबाट ५ वर्षसम्म मान्य हुन्छ।
महत्त्व: डिजाइनको मौलिकता सुरक्षित रहन्छ।
४. सजाय (Punishment)
डिजाइनधनीको लिखित अनुमति बिना डिजाइनको नक्कल वा प्रयोग गर्न पाइँदैन। उल्लङ्घन गरेमा रु. ५०,००० सम्म जरिवाना हुन सक्छ र सम्बन्धित सामान जफत गर्न सकिन्छ।
महत्त्व: डिजाइन चोरी रोक्न मद्दत गर्छ।
C. ट्रेडमार्क (Trademark)
१. आवेदन (Application)
व्यवसायीले आफ्नो व्यापारिक चिन्ह (Trademark) दर्ता गर्न उद्योग विभाग मा तोकिएको ढाँचामा आवेदन दिनुपर्छ। आवेदनसँग ट्रेडमार्कका चार नमुना संलग्न गर्नुपर्छ।
महत्त्व: व्यापारिक चिन्हको कानुनी स्वामित्व सुनिश्चित हुन्छ।
२. दर्ता (Registration)
आवश्यक अनुसन्धानपछि उद्योग विभागले आवेदकको नाममा ट्रेडमार्क दर्ता गर्छ।
महत्त्व: व्यापारिक चिन्हलाई कानुनी संरक्षण प्राप्त हुन्छ।
३. निषेध (Prohibition)
दर्ता नगरी कुनै पनि चिन्हलाई दर्ता भएको ट्रेडमार्कको रूपमा प्रयोग गर्न पाइँदैन।
महत्त्व: नक्कली वा भ्रामक चिन्हको प्रयोग रोक्न मद्दत गर्छ।
४. समय सीमा (Time Limit)
दर्ता भएको ट्रेडमार्क एक वर्षभित्र प्रयोगमा नल्याएमा उद्योग विभागले आवश्यक अनुसन्धान गरी दर्ता रद्द गर्न सक्छ।
महत्त्व: अनावश्यक रूपमा ट्रेडमार्क दर्ता गरेर राख्ने प्रवृत्ति रोक्छ।
५. अवधि (Term)
दर्ता भएको ट्रेडमार्क दर्ताको मितिबाट ७ वर्षसम्म मान्य हुन्छ।
महत्त्व: व्यवसायको पहिचान र प्रतिष्ठालाई दीर्घकालीन कानुनी संरक्षण मिल्छ।
६. सजाय (Punishment)
अरूको दर्ता भएको ट्रेडमार्क अनुमति बिना प्रयोग गरेमा वा कानुन उल्लङ्घन गरेमा रु. १,००,००० सम्म जरिवाना हुन सक्छ र सम्बन्धित सामान जफत गर्न सकिन्छ।
महत्त्व: व्यापारिक चिन्हको दुरुपयोग रोक्न र निष्पक्ष प्रतिस्पर्धा कायम गर्न सहयोग गर्छ।
निष्कर्ष
पेटेन्ट, डिजाइन तथा ट्रेडमार्क ऐन, १९६५ ले आविष्कार, औद्योगिक डिजाइन र व्यापारिक चिन्हको कानुनी संरक्षण गर्दै आविष्कारकर्ता, डिजाइनकर्ता तथा व्यवसायीको अधिकार सुरक्षित गर्छ। यस ऐनले नवप्रवर्तन, सिर्जनशीलता, स्वस्थ प्रतिस्पर्धा र नेपालको औद्योगिक तथा आर्थिक विकासलाई प्रोत्साहन गर्दछ।
